Terms of Service

These Terms of Service ("Terms") constitute a legal agreement between you ("User", "you") and Posy SPA, a company incorporated under the laws of Chile, operator of the Seeral service available at seeral.co ("Seeral", "Service").

By creating an account, accessing or using Seeral, you agree to be legally bound by these Terms and by our Privacy Policy. If you do not agree with any of the points, do not use the Service.

Seeral is a short-form video editing and publishing tool assisted by artificial intelligence. It allows creators to:

• Upload or import videos and edit them in vertical format (9:16).
• Generate automatic captions, add B-roll, overlays and other visual elements.
• Write scripts manually or generate them with AI, and convert them to audio (text-to-video).
• Organize content into projects, scripts and brand kits.
• Schedule and publish content to connected platforms (YouTube, Facebook, Instagram, TikTok).

The Service is offered "as is" and may evolve — features may be added, modified or discontinued with reasonable prior notice.

3.1. Requirements

• You must be at least 18, or the age of majority in your country of residence.
• You must provide truthful information and keep it up to date (email, account details).
• You are responsible for maintaining the confidentiality of your password and for all activity carried out under your account.

3.2. Workspaces

You may create or be invited to workspaces. Workspaces have roles (Owner, Admin, Editor, Viewer) that determine what actions each member can perform. The Owner is responsible for the workspace's content and for invited members' compliance with these Terms.

You agree not to use Seeral to:

• Upload, generate or publish content that infringes intellectual property rights, trademarks, image rights or privacy of third parties.
• Illegal, fraudulent, misleading, defamatory, discriminatory, violent or sexually explicit content involving minors, or that promotes illegal activities.
• Impersonate any person or entity, or misrepresent your relationship with any person or entity.
• Distribute malware, spam, or unauthorized scraping techniques against the Service.
• Reverse engineer, decompile or attempt to extract the source code of the Service.
• Deliberately overload the infrastructure with abnormal traffic or request volumes.
• Any activity that violates the Terms of Service of connected platforms (YouTube, Meta, TikTok). You are responsible for complying with their rules in addition to these Terms.

We reserve the right to suspend or terminate accounts that violate these rules, with no refund if a charge applied.

5.1. Your content

You retain ownership of all content you upload to Seeral (videos, scripts, audio, brand kits, etc.). You grant us a limited, non-exclusive, worldwide, royalty-free license to store, process, transform and display your content exclusively for the purpose of providing the Service. This license terminates when you delete the content or your account.

5.2. Stock content

B-roll, images and GIFs provided through external stock providers are offered under each provider's specific licenses. You are responsible for complying with those licenses (attribution when applicable, commercial restrictions, etc.). The Seeral interface indicates the source of each asset and its terms of use where applicable.

5.3. AI-generated content

Outputs generated by AI within Seeral (scripts, descriptions, hashtags, captions, B-roll queries) are created collaboratively with third-party models. You are responsible for the final use, review and publication of that content. Legality and originality of the output must be verified by you before publishing.

5.4. Seeral

The interface, code, design, trademarks, logos and other identifying elements of Seeral are the exclusive property of Posy SPA. Copying, modifying or using them to build derivative products without written authorization is prohibited.

When you connect a YouTube, Facebook, Instagram or TikTok account to Seeral via OAuth, you authorize us to publish content on your behalf with the specific permissions you accept on each platform's consent screen.

• You are responsible for the content you publish and for complying with each platform's policies.
• You may disconnect any account whenever you want from Settings → Connected accounts. Doing so revokes the tokens on the source platform.
• Seeral is not responsible for sanctions, bans or restrictions connected platforms may impose on you for the content you publish.

We make reasonable efforts to keep Seeral available 24/7, but we do not guarantee continuous uninterrupted availability. The Service may experience outages due to maintenance, infrastructure failures, attacks, or causes outside our control.

We reserve the right to modify, suspend or discontinue features (in whole or in part) with reasonable prior notice when possible.

8.1. Available plans

Seeral offers a free plan (Free) with limited functionality and paid plans (Creator, Pro, Studio, Enterprise) with monthly or annual billing cycles. Current pricing is published at seeral.co/pricing. All prices are shown in USD and do NOT include local taxes (IVA, VAT, sales tax) — applicable taxes are calculated and added at checkout based on billing country.

8.2. Payment processor

Payments are processed through Polar.sh, which acts as Merchant of Record. Polar is responsible for billing, tax collection and remittance in applicable jurisdictions, and for issuing tax receipts. Polar never exposes your full card data to Seeral.

8.3. Automatic renewal

Subscriptions renew automatically at the end of each cycle (monthly or annual) using the registered payment method. We will email a receipt after each successful charge. You can disable automatic renewal at any time from the management portal accessible at Account → Plan and billing → Manage subscription.

8.4. Cancellation

You can cancel your subscription at any time from the portal. Cancellation is effective at the end of the period already paid — during those days you continue to have full access to the plan's features. At the end of the period, your account automatically reverts to the Free plan. We do not issue prorated refunds for unused periods after cancellation, except where applicable law requires it.

8.5. Plan changes

You can change plans (upgrade or downgrade) at any time from the portal. Changes are effective immediately. Polar automatically calculates the prorated amount for days used on the previous and new plan, adjusting the next billing cycle.

8.6. Failed payments

If a payment fails, Polar automatically retries the charge for several days. You have 3 days of grace from the first failure to update your payment method without losing access. After that period without a successful payment, the account is automatically downgraded to the Free plan until payment is resolved.

8.7. Refund policy

We offer a full refund within 14 days of the first payment of a subscription if you request cancellation in writing and have not significantly used the Service (measured by number of exports generated). Outside that window, we do not issue refunds unless required by law in your jurisdiction.

8.8. Price changes

We may modify prices or plan structure at any time. We will notify by email with at least 30 days' advance notice before applying increases to existing subscriptions. Changes only affect future billing cycles; we never charge retroactively. If you do not agree with the new price, you may cancel before the next cycle without penalty.

8.9. Suspension for non-payment

If your account enters prolonged non-payment status or we detect chargebacks or fraudulent disputes, we may suspend access to the Service without prior notice. Reactivation requires settling the amount owed.

You may cancel your account at any time from Settings → Account → Delete account. Deletion is permanent: all your projects, scripts, brand kits, scheduled posts and other associated content are deleted.

We may suspend or terminate your access if you violate these Terms or if your use puts the Service or other users at risk. We will notify you by email when possible.

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available", without express or implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Posy SPA will not be liable for indirect, incidental, consequential, punitive or special damages (including loss of revenue, data or reputation) arising from the use or inability to use the Service.
• Our total aggregate liability for any claim related to the Service will not exceed the amount you have paid us in the 12 months prior to the event giving rise to the claim, or USD $100, whichever is greater.

You agree to indemnify and hold harmless Posy SPA, its directors, employees and agents, against any claim, demand or expense (including reasonable legal fees) arising from: (i) your violation of these Terms; (ii) your violation of third-party rights; or (iii) your use of the Service in contravention of applicable law.

These Terms are governed by the laws of Chile, without regard to conflict-of-law rules. Any dispute that cannot be resolved amicably will be submitted to the exclusive jurisdiction of the ordinary courts of Santiago, Chile, expressly waiving any other forum that might apply.

We may modify these Terms to reflect changes in the Service or in legal requirements. Material changes are notified at least 30 days in advance by email or by a prominent notification in the app. If you continue using the Service after the effective date of the change, you are accepting the new Terms.

• Entire agreement: these Terms and the Privacy Policy constitute the entire agreement between you and Posy SPA regarding the Service.
• Severability: if any provision is held invalid, the remaining provisions continue in full force.
• No waiver: our failure to enforce any provision does not constitute a waiver.
• Assignment: you cannot assign these Terms without written consent; we may assign them in case of acquisition or merger of Posy SPA.
